Dear Sir or Madam,

Re: Shin Hwa World Limited – Proposed Rights Isue on the basis of one (1) Rights Share

for every one (1) share held on the record date

We refer to the circular of Shin Hwa World Limited (the “Company”, together with its

subsidiaries, the “Group”) dated 22 August 2025 (the “Circular”) relating to the captioned mater.

Capitalised terms used herein shal have the same meanings as those defined in the Circular unles

otherwise defined.

We, Jun Hui International Finance Limited, being the independent financial adviser to the

Independent Board Comite and the Independent Shareholders, have hereby given and have not

withdrawn our writen consent to the isue of the Circular with the inclusion therein of our leter of

advice and references to our name in the form and context in which they are respectively included.

We also confirm that as at the Latest Practicable Date, we did not have any shareholding,

directly or indirectly, in any member of the Group or any right (whether legaly enforceable or not) to

subscribe for or to nominate persons to subscribe for securities in any member of the Group. As at

the Latest Practicable Date, we did not have any direct or indirect interest in any asets which had

ben, since 31 December 2024 (the date to which the latest published audited financial statements of

the Group were made up), acquired or disposed of by or leased to, or was proposed to be acquired,

disposed of by or leased to any member of the Group.
