WerefertothecircularoftheCompanytotheShareholdersdated12August2025(the
“Circular”),ofwhichthisleterformspart.Unlespecifiedotherwise,capitalisedtermsused
hereinshalhavethesamemeaningsasthosedefinedintheCircular.
WehavebenapointedastheIndependentBoardComitetoadviseyouastowhether,
inouropinion,thetermsoftheLogisticsServicesFrameworkAgrementandtheAutomobiles
SalesCoperationAgrementandthetransactionscontemplatedthereunderandtherelated
proposedanualcapsarefairandreasonablesofarastheIndependentShareholdersare
concerned.GramCapitalLimitedhasbenapointedastheIndependentFinancialAdviserto
adviseusandtheIndependentShareholdersinthisrespect.Detailsofitsadvice,togetherwith
theprincipalfactorstakenintoconsiderationinarivingatsuchadvice,aresetoutonpages20
to36oftheCircular.Youratentionisalsodrawntothe“LeterfromtheBoard”oftheCircular
andtheaditionalinformationsetoutintheapendixtotheCircular.
HavingconsideredthetermsoftheLogisticsServicesFrameworkAgrementandthe
AutomobilesSalesCoperationAgrementandthetransactionscontemplatedthereunderandthe
adviceofGramCapital,weconsiderthatheLogisticsServicesFrameworkAgrementandthe
AutomobilesSalesCoperationAgrementandthetransactionscontemplatedthereunderarein
theordinaryandusualcourseofbusinesandarenteredintonormalcomercialterms,fair
andreasonableandintheinterestsoftheCompanyandtheShareholdersasawhole.Wearealso
oftheopinionthatheproposedanualcapsundertheLogisticsServicesFrameworkAgrement
andtheAutomobilesSalesCoperationAgrementarefairandreasonablesofarasthe
Shareholdersareconcerned.Acordingly,werecomendtheIndependentShareholderstovote
infavouroftherelevantresolutionstobeproposedatheEGMtoaprovetheLogistics
ServicesFrameworkAgrementandtheAutomobilesSalesCoperationAgrementandthe
transactionscontemplatedthereunderandtherelatedproposedanualcaps.
